1. Summary
- State filing fees can be refunded until we submit your filing to the state. After submission they are generally non-refundable, because the state keeps them.
- Firmlane service fees for work we have not started can be refunded.
- Recurring services can be canceled any time before renewal, so you are not charged for the next period.
- Refunds go back to your original payment method where possible.
- Every refund request is reviewed by our team.
2. The fees this policy covers
Every order separates these fees:
- Government fees: state filing fees and other fees charged by government agencies. Each state sets its own fees. We collect them and pay them to the agency on your behalf.
- Firmlane service fees: our fees for the work we do. On eligible standard formations the Firmlane service fee is $0, and you pay the state filing fee.
- Optional and recurring services: services you choose to add, such as registered agent renewal, compliance and annual reports, business address and mail, bookkeeping and tax, amendments, certificates and apostilles, or dissolution. Each shows its price and terms before you order.
3. Government and state fees
Before submission. If you cancel your order, or we cancel it, before we submit the filing to the state, we refund the government fee in full.
After submission. Once we submit your filing, the government fee is paid to the state, and states generally do not return it, even if the filing is later rejected or you change your mind. For this reason, government fees are generally non-refundable after submission.
Fees a state returns. If a state returns a fee to us, for example because it rejects a filing and refunds the fee, we will refund that amount to you or, if you agree, use it for a corrected filing.
Rejected filings. If a state rejects a filing, for example because a name is not available, we will tell you why and explain your options. A new filing may need a new government fee, which we will show you before you pay it.
4. Firmlane service fees
- Work not started. If you cancel before we have started work on a service, we refund its service fee.
- Work in progress. If you cancel after we have started work but before the service is complete, we will review your request and may refund part of the fee to reflect the work not yet done.
- Work completed. Once a service has been fully delivered, for example a filing has been submitted or a document has been delivered, its service fee is generally not refundable.
- Our mistakes. If a filing is rejected or must be corrected because of an error we made when preparing it, we will correct and resubmit it without charging an additional Firmlane service fee.
5. EIN guarantee
The EIN guarantee in our terms of service has its own remedy, separate from the rules above:
If your EIN is not delivered within 4 weeks, we keep working on it at no cost and refund every Firmlane fee you paid on the order, or $100, whichever is more.
The terms of service also explain when the guarantee starts and the conditions that apply.
6. Recurring services and renewals
- A recurring service renews automatically only if you gave explicit consent to automatic renewal. We send a reminder before each renewal.
- You can cancel any time before the renewal date from your account or by contacting support. Canceling stops future renewals. The service continues until the end of the period that is paid for or included.
- If you were charged for a renewal you did not intend to keep, contact us within 30 days of the charge. We will review your request, taking into account whether the renewed service has already been used.
- We do not normally refund unused parts of a service period, unless the law requires it or the terms shown for that service say otherwise.
- Registered agent service. Canceling does not change the registered agent on file with the state. You need to appoint a new registered agent and file the change with the state. See the registered agent terms.
7. Orders we cannot complete
If we decline or cancel your order before submission, for example because the state and entity combination is not available, because we cannot verify information we need, or because the order cannot pass screening the law requires, we refund government fees that have not been submitted and service fees for work we have not done. We will not issue a refund where the law prohibits it, for example under sanctions rules.
If we ask you for information and do not hear back after repeated reminders over 60 days, we may cancel the order and refund it under this policy.
8. How to request a refund
Email [email protected] (opens in a new tab) or message us from your account. Include your order number, which starts with "FL-", and the reason for your request.
Every refund request is reviewed by our team, and each refund is checked by a second team member before it is issued. We aim to reply within 5 business days.
9. How refunds are paid
- Card payments are refunded to the same card through Stripe. Your card issuer may take several business days to show the refund.
- Bank transfers and UPI payments are refunded by transfer to the account the payment came from, where possible. We may ask you to confirm the account details. We send refunds only to an account in the name of the person or company that paid.
- Crypto payments are refunded in the same coin, on the same network, to an address you give us. The blockchain network fee for sending the refund is deducted from it, and we refund the US dollar amount of the refunded items, sent in the same coin at the exchange rate on the day of the refund. Please check the address carefully: crypto refunds cannot be reversed.
- Currency. We refund in the currency you paid. For payments in Indian rupees (INR), we refund the INR amount you paid for the refunded items, so exchange-rate changes after your order do not change your refund.
- Fees. We do not deduct any fee of our own from a refund. Your bank, intermediary banks or card issuer may charge their own fees, including currency conversion fees, which we do not control.
If a refund to the original payment method is not possible, we will agree another method with you.
10. Chargebacks
If you think a charge is wrong, please contact us first so we can fix it quickly. See payments and billing for how we handle card disputes.
11. Your legal rights
This policy does not limit any rights you have under the consumer protection laws that apply to you.
