1. Firmlane is not a law firm
Firmlane is not a law firm and does not provide legal, tax or financial advice. Using Firmlane does not create an attorney-client relationship. We prepare and submit filings based on the information you give us. Our guides, FAQs, comparison pages and support answers are general information, not advice about your situation. If you need advice, for example about which entity type or state is right for you, how you will be taxed, or what your immigration options are, consult a qualified attorney, accountant or tax professional.
2. Firmlane is not a government agency
Firmlane is a private company. We are not affiliated with, endorsed by or acting for any state agency, the IRS or any other government body. You can file directly with a state agency or the IRS yourself, without using Firmlane.
3. Government fees and Firmlane service fees
- Government fees are set by each state and can change. You pay them through Firmlane, and we pay them to the state on your behalf. They are always shown separately from our fees. See state filing fees.
- Firmlane service fees are our own fees. On eligible standard formations, the Firmlane service fee is $0, and you pay the state filing fee.
- Optional and recurring services are how Firmlane earns money, for example registered agent renewal after the first year included on eligible orders, compliance and annual reports, business address and mail, bookkeeping and tax, amendments, certificates and apostilles, and dissolution. Each is optional and priced upfront, and recurring services can be canceled under their terms. See pricing.
If we have not been able to confirm a state's current fee, we show it as pending confirmation and do not take payment for that filing until it is confirmed.
4. What we cannot guarantee
Apart from the EIN guarantee described in section 5, Firmlane cannot and does not guarantee:
- that a company name will be available or accepted by the state;
- that a state will approve a filing;
- any processing time at a state agency;
- that a bank will open an account for your company;
- that a payment processor or marketplace will approve your company;
- any visa, immigration or residency outcome; or
- any tax result or tax treatment.
5. EINs and our EIN guarantee
100% guaranteed EIN, delivered within 4 weeks
The 4 weeks start once your company has been approved by the state and we have your complete EIN information.
Remedy. If your EIN is not delivered within 4 weeks, we keep working on it at no cost and refund every Firmlane fee you paid on the order, or $100, whichever is more.
EINs are issued by the IRS. Firmlane prepares and submits your application through its established process and follows it through until your EIN is issued. Firmlane is not affiliated with the IRS.
Conditions apply. The full guarantee, including its conditions, is in our terms of service. See also EIN assistance.
6. An S corporation is a tax election, not an entity type
An S corporation is a federal tax status. An eligible LLC or corporation chooses it by filing IRS Form 2553. A state does not form an "S corporation" as a separate type of company. Eligibility rules apply. For example, nonresident aliens cannot be S corporation shareholders. See S corporation election help.
7. Nonprofit incorporation does not grant 501(c)(3) status
Forming a nonprofit corporation with a state does not make it tax-exempt. Federal tax exemption under section 501(c)(3) requires a separate application to the IRS, usually Form 1023 or Form 1023-EZ, and the IRS decides whether to grant it. See nonprofit formation.
8. Third-party professionals
Bookkeeping and tax services are provided by qualified independent professionals, not by Firmlane itself. They are responsible for the professional services and advice they give, and they may ask you to accept their own engagement terms. See bookkeeping and tax.
9. Comparison pages
Our comparison pages compare Firmlane with other company formation providers. They are based on publicly available information from each provider's own website, checked on the date stated on each page. Providers change their prices, features and terms, so information may be out of date by the time you read it. Please check the provider's own website before you decide.
Firmlane is not affiliated with, endorsed by or sponsored by any company we compare ourselves with. We aim to be accurate and fair. If you believe something on a comparison page is wrong, email [email protected] (opens in a new tab) and we will review it and correct it where needed.
10. Trademarks
Company names, product names, trademarks and logos mentioned on our website belong to their respective owners. We use them only to identify those companies and products. Their use does not imply any affiliation with or endorsement by their owners.
11. General information on our website
Our guides, blog posts and FAQs explain how US company formation generally works. State and federal rules change, and we review our content periodically, but it may not reflect the latest change or your circumstances. Where a page shows the date it was last reviewed, that date tells you when we last checked it.
