Some states call it a certificate of status or certificate of existence. Banks, payment processors and other states often ask for one.

If I stop using my company, do I still need to dissolve it?

Yes, if you want its obligations to stop. A company that simply goes quiet usually still owes annual reports and state taxes, and penalties can build up. Delaware, for example, says taxes continue to accrue on a corporation until a filing officially ends its existence, and California's $800 LLC tax applies every year until the LLC is cancelled.

What does "good standing" mean?

A company is in good standing when it is current with its state: required reports filed, state fees and taxes paid, and a registered agent on file. Banks, other states and investors often check it, and you may need a certificate of good standing to register in another state or complete a transaction. Do I need to file a beneficial ownership (BOI) report with FinCEN?

As of October 17, 2026, FinCEN's final rule (effective August 14, 2026) exempts companies created in the United States from BOI reporting, making permanent the exemptions in its March 2025 interim final rule. Companies formed under foreign law that register to do business in a US state may still need to report. Check fincen.gov/boi for the latest position.

What happens if I miss an annual report or state tax deadline?

Usually late fees and interest first, then loss of good standing, and eventually administrative dissolution if the problem continues. For example, Delaware charges a $200 penalty plus 1.5% monthly interest on late LLC taxes, and Wyoming administratively dissolves an entity whose annual report is not filed within 60 days of the due date. Most states allow reinstatement, but it generally costs more than filing on time. Contact us if you need help.

Do I need to file a beneficial ownership (BOI) report with FinCEN?

Not for a company formed in a US state, as of October 2026. FinCEN's interim final rule of March 2025 exempted companies created in the United States, and a final rule announced on August 11, 2026 made that exemption permanent. Entities formed under foreign law that register to do business in a US state may still need to report. Rules can change, so check FinCEN's BOI page for current guidance.

No. According to the IRS, LLCs and corporations don't need a new EIN when they change their name or location. You do need to tell the IRS about the change, and update your bank and other records. A change in structure, such as forming a new corporation, can be different.

A US single-member LLC owned by a foreign person is treated as a corporation for Form 5472 purposes and must file it, attached to a pro forma Form 1120, for any year it has reportable transactions with its owner or related parties. If your US LLC has a single owner who is not a US person, it is generally a foreign-owned disregarded entity, and the IRS requires it to file Form 5472 attached to a pro forma Form 1120 for each year it has reportable transactions, such as contributions or distributions. Do I have to form my corporation in Delaware?

No. You can incorporate in any state. Delaware is common among venture-backed startups because investors are familiar with its corporate law, but a Delaware corporation that operates elsewhere usually also has to register in that state, which adds fees and reports. If you are unsure, discuss it with an attorney or your investors.

Can I form a US LLC if I am not a US citizen or resident?

Yes. US citizenship or residency is not required to form an LLC. Does incorporating a nonprofit make it a 501(c)(3)?

No. State incorporation creates a nonprofit corporation, but 501(c)(3) status is recognized only by the IRS after you apply on Form 1023 or Form 1023-EZ. Until then, your organization is not a recognized 501(c)(3), and you should not tell donors that it is.

Will my company name definitely be approved?

Accepted Answer

No one can guarantee that, because the state decides when it reviews your filing. Most states require the name to be distinguishable from names already on file and to include a designator such as "LLC" or "Inc." Some words, such as "Bank", may need regulatory approval. We recommend searching the state's business database first and giving us a backup name. A state registration also does not give you trademark rights.

Do I need an operating agreement or bylaws?

In most cases you should have one. An LLC's operating agreement sets out ownership, voting, profit sharing and what happens if an owner leaves. A corporation's bylaws set out how the board and officers operate. Few states require you to file these documents, but some expect every company to have them, and banks and investors often ask to see them. A written agreement also helps show the company is separate from its owners.

No. Incorporating a nonprofit under state law creates the legal entity, but it does not grant federal tax exemption. Forming a company does not by itself give you any immigration status or work authorization. USCIS has separate entrepreneur pathways, such as E-2, L-1A and International Entrepreneur parole, each with its own requirements. No. Banks and payment processors make their own decisions under their own risk and compliance policies, and nobody outside those institutions can guarantee approval. What helps is having consistent, complete documents: your approved formation document, EIN confirmation, operating agreement or bylaws, owner identification, and a clear description of your business and customers. Usually, yes. The USPTO requires foreign-domiciled applicants to be represented by a US-licensed attorney. For a company, domicile means its principal place of business: the headquarters where its senior executives direct and control it. So a US company run from abroad is generally covered by the rule. No. Owning a US company does not by itself grant any immigration status, visa or permission to work in the United States. Company formation is a matter of state law, while immigration is handled separately under federal law. Can I change my details after placing an order?

Contact us as soon as possible. Before your filing is submitted to the state, corrections can usually be made. After the state has accepted a filing, most changes, such as a new name, address or management structure, require an amendment filed with the state, which carries its own state fee. Optional services and renewals can be cancelled according to our terms and, for registered agent service, our registered agent terms. Our refund policy explains what happens to amounts already paid. As listed by the USPTO when we checked on October 17, 2026, the base application fee is $350 per class , in effect since January 18, 2025. Surcharges of $100 or $200 per class apply if an application has insufficient information, uses a free-form description instead of the USPTO ID Manual, or has a very long description. Intent-to-use applications later pay $150 per class for the statement of use. These are government fees, shown separately from the Firmlane fee.

Each state sets its own fees by law, and they vary by entity type as well as by state. Some states also offer optional expedited processing for an extra state fee. These amounts are government fees, not Firmlane charges, and they are passed to the state. We list them separately at checkout so you can compare. Which payment methods do you accept?

Accepted Answer

It depends on your billing country and on what is enabled for your order at checkout. Outside India: card through Stripe (with Apple Pay or Google Pay where your device supports them), PayPal and international bank transfer. In India: UPI and bank transfer from an Indian bank account, in INR. Everywhere: crypto (Bitcoin, USDT on TRON or BNB Smart Chain, BNB or TRX), paid to Firmlane's own addresses and checked on the blockchain. Crypto payments are final and cannot be reversed. Why is my bank transfer or UPI payment marked "pending confirmation"?

Manual payments, such as bank transfers and UPI, are not confirmed automatically. Your order stays "pending confirmation" until our team matches the incoming payment to your order. Use the exact reference shown at checkout so the payment can be matched. Once it is confirmed, your order moves forward and the status updates in your account. If the status has not changed after your bank shows the transfer as complete, contact us with your order reference.
